Terms of Service

1. Acceptance of Terms

By accessing closify.sbs, creating an account, or purchasing a subscription, you enter into a binding legal contract with SwissMarketLab (“we”, “us”, “our”). If you are using Closify on behalf of an agency, company, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Legal Operator and Entity

Closify is developed, owned, and operated exclusively by:

3. Description of Service

Closify provides a B2B sales automation platform that:

• Allows subscribers to search geographic areas for local business listings that lack registered websites using public business directory data (via Google Places API).
• Generates demonstration website landing page mockups powered by artificial intelligence.
• Provides pre-formatted outreach email templates (FR/EN) and shareable demonstration preview links.

Closify is an independent productivity tool and is not endorsed by, sponsored by, or affiliated with Google LLC, Alphabet Inc., or Anthropic PBC.

4. User Accounts, Security & Fair Use

• You must be at least 18 years old to create an account and access our services.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Each subscription tier is subject to daily and monthly usage quotas (e.g., search credits, geocoding lookups, and AI generation calls). Attempting to circumvent quotas through automated scripts, multi-account abuse, or race condition exploits is strictly prohibited and results in immediate account termination.

5. Cold Outreach Compliance (CAN-SPAM, GDPR, UWG)

• United States (CAN-SPAM Act): You must include a truthful, non-deceptive subject line, your valid physical postal address, and a clear, conspicuous opt-out mechanism in every commercial email.
• European Union (GDPR & ePrivacy): You must establish a lawful basis for B2B communications and immediately honor objection/opt-out requests.
• Switzerland (UWG Art. 3(1)(o)): You must respect anti-spam rules and honor the Swiss Robinson list (advertising stars).
• You agree to indemnify and hold harmless SwissMarketLab and Arnaud Alves from any third-party claims, penalties, or damages arising from your outreach campaigns.

6. AI Generation & Demonstration Previews

All landing page mockups generated by Closify are created with artificial intelligence for pitch and demonstration purposes only (“Demonstration Mockups”):

• No Guarantee of Factual Accuracy: While the AI incorporates real public business data (address, phone, categories), generated marketing copy may contain creative extrapolations. You must review and edit all content before showing it to a prospective client.
• No Real Hosting or Production Site: Preview links hosted at preview.closify.sbs are temporary mockups designed to show on mobile devices. They do not constitute a live, production-grade e-commerce or booking website.
• Sanitization: Previews undergo strict automated HTML sanitization to prevent malicious code injection. You may not attempt to inject phishing scripts, malicious forms, or exploit the preview renderer.
• Free View-Only Preview: The free preview included in the Free plan can only be viewed inside your Closify account, with a “Preview. Unlock to share.” banner. It has no share link, no HTML download and no email template, and it cannot be regenerated, until you unlock it with a one-time payment or a subscription.

7. Subscriptions, Payments & Stripe Billing

Closify offers the following plans and one-time purchases (prices in US Dollars):

• Free ($0): 5 Google Maps searches per month (up to 5 results per search, within 5 km) and one free website preview per account, for the lifetime of the account. Searches and the free preview require a confirmed email address, the free preview is view-only (see Section 6), and only one free account is allowed per email inbox.
• Single Preview ($1.99, one-time): unlocks one preview page (share link, HTML download, email template), or pays in advance for one preview of one business you selected. It is not a subscription, it covers one page only and it does not include regenerations of that page. It is granted once Stripe confirms the payment.
• Starter ($19 per month): 30 Google Maps searches and 30 website previews per month.
• Pro ($49 per month): 200 Google Maps searches and 150 website previews per month.
• Monthly Quotas: Monthly searches and previews reset at the start of each calendar month (UTC) and do not roll over. Daily fair-use limits apply to every plan (Section 4). Subscribing to Starter or Pro also unlocks the free preview and any other locked preview in your account.

Paid tiers (Starter and Pro) are billed on a monthly subscription basis:

• Prices: Displayed in US Dollars (USD). Prices are exclusive of applicable sales taxes unless indicated otherwise.
• Payment Processing: All transactions are securely processed through Stripe, Inc. By subscribing, you authorize recurring monthly charges to your chosen payment method until canceled.
• Price Modifications: We reserve the right to adjust subscription pricing with at least 30 days prior notice to existing active subscribers.

8. Cancellation, Renewal & Refund Policy

• Cancel Anytime: You can cancel your subscription at any time via the Stripe Customer Portal inside your Closify account settings (/app/#/account) or by emailing us at contact@closify.sbs. Cancellation takes effect at the end of your current paid billing period; you retain access until that date.
• Refund Policy: Under applicable consumer law, a 14-day statutory right of withdrawal applies to initial signups, provided you have not substantially consumed your monthly generation or scraping credits. Once generation credits have been utilized, fees for that monthly period are non-refundable.
• One-Time Purchases: A $1.99 single preview is delivered right after payment, so it is non-refundable once the preview has been unlocked or generated, except where the law requires otherwise. If a paid preview fails to generate and no page is saved, the purchase is returned to your account automatically so you can try again (the same applies to the free preview); if anything goes wrong, email us and we will restore it or refund you.
• Chargebacks: If an unauthorized chargeback is filed without contacting support first, your account and associated preview links will be suspended immediately pending resolution.

9. Intellectual Property

• Our Property: SwissMarketLab retains all rights, title, and interest in and to the Closify software, user interface, brand assets, logos, and algorithms.
• Generated Output: Subject to your compliance with these Terms, you receive a non-exclusive license to use, display, download, and modify the HTML website mockups generated during your active subscription, or unlocked with a one-time purchase, to pitch and deliver services to your clients. A free view-only preview may only be viewed inside your account until it is unlocked.

10. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, SWISSMARKETLAB AND ARNAUD ALVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO CLOSIFY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Governing Law & Dispute Resolution

These Terms and any dispute arising from your use of Closify shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to conflict of law principles. The place of jurisdiction for all disputes shall be the competent courts of the Canton of Vaud, Switzerland.
